Terms of Use
Your supplier is James Ball trading as myQS AI, a sole trader, at 43 Byron Road, Addlestone, KT15 2SJ, United Kingdom ("we", "us"). Contact: james@myqs.co.uk. myQS AI is a trading name, not a limited company. Prices currently shown include all charges payable to us; we are not currently VAT registered.
1. Business customers and contract formation
We supply only for use in a trade, business, craft or profession, including construction and quantity surveying businesses and sole traders. We do not offer purchases for wholly or mainly personal, household or consumer purposes. You must be at least 18 and have authority to bind the business you identify when ordering. If you are a sole trader, you contract personally.
Before purchasing, you must confirm business or professional use and agreement to these Terms. Your subscription contract starts when successful payment and access are confirmed. Setup bookings are agreed in writing after these Terms are supplied; any expressly agreed written booking terms take priority on the matters they cover. A free demo creates no obligation to buy. You may save or print these Terms.
A business-use declaration does not remove statutory rights where the law treats a purchaser as a consumer. If you are purchasing for consumer purposes, do not proceed; contact us. Nothing here excludes mandatory consumer rights if they apply.
2. What we provide
The Skill Library is a subscription to downloadable digital instruction materials: individual Markdown (.md) skill files, associated guides and, where provided, ZIP packages containing supporting resources or scripts. You download and run them yourself in your own ChatGPT, Claude or other supported third-party AI account or on your own device. Some packages need particular platform features, tools or software; read the guide before use.
myQS AI does not run the AI analysis, generate the AI output or host customer project files. Your chosen third-party platform or your own device performs the processing. This is a professional productivity and workflow resource, not an outsourced QS service. Library membership currently includes guides and workflow support through the member WhatsApp group. The published catalogue identifies available materials; no particular future release or update frequency is promised.
The optional Setup package is currently £1,000 for a day of AI setup and workflow training, with 30 days of WhatsApp support. It is separate from library membership. Demonstrations, training, examples and support explain tools and verification methods; they do not certify project work or provide project-specific professional advice.
3. Third-party platforms and compatibility
You select, obtain and pay for any third-party account, subscription, hardware and software needed. Your AI provider's terms, privacy controls, retention settings, usage limits and output rules apply separately. You are responsible for permissions to upload or connect project information, confidentiality, data protection and checking your employer's and clients' requirements.
AI models, features and file-handling capabilities change. We do not guarantee continued compatibility with every platform, account tier, device or future model, uninterrupted availability of third-party services, or that an update will resolve every issue. Check the requirements for your chosen skill and test it before operational use. These limits do not remove our obligation to provide our own materials and services with reasonable care and skill and substantially as described.
4. Mandatory human verification
AI can hallucinate, invent information or citations, misread documents, omit items, change figures, make arithmetic errors and produce plausible but incorrect answers. Instructions to avoid these behaviours are safeguards to aim for, not guarantees that the model will comply. A model's claim that it has checked its work is not independent verification.
You MUST review and independently verify all output against reliable source information before relying on it, issuing it, ordering, signing, serving a notice, or making any commercial or professional decision. You remain responsible for quantities and measurements; calculations, formulas and totals; rates, prices, taxes and allowances; contractual interpretation and notice requirements; scope, exclusions and completeness; dates, deadlines and service; assumptions, source versions and final decisions.
Keep originals and appropriate backups. Use a competent person and appropriate independent calculation or measurement methods. Obtain suitably qualified QS, legal, engineering, health and safety or other professional advice where the task requires it. Do not use AI as the sole basis for safety-critical work, statutory compliance, contractual notices or financial commitments. You are responsible for the work you approve and issue to clients or others.
5. No professional advisory relationship or assured outcome
Buying, downloading, using a skill, attending training or asking for support does not appoint us as your quantity surveyor, contract administrator, designer, solicitor, safety adviser, agent or other professional adviser. We do not assume responsibility for managing, checking, signing off or certifying your project or AI output. No professional QS or advisory relationship is created.
We give no guarantee of output accuracy, completeness, suitability for a particular project, detection of every issue, savings, recovery, profit, successful claims or other commercial outcome. Examples are illustrative. Materials and AI outputs are starting points for your own professional work and judgement. This does not exclude our express commitments or obligations that cannot lawfully be excluded.
6. Licence and intellectual property
We or our licensors retain intellectual property rights in our skills, guides, templates and supporting materials. Subject to payment and compliance with these Terms, we grant a limited, non-exclusive, non-transferable licence to the authorised user for the purchasing business's internal professional workflows, including preparing that business's own client deliverables. Unless your order expressly includes more seats, one subscription licenses one named individual. Contact us to agree additional users.
You may keep reasonable backup copies and adapt instructions privately for the licensed user's work. You must not resell, redistribute, sublicense, publicly share, repackage or publish the materials, including modified versions, or make them available through a competing library, training product, shared drive or public AI assistant. Do not share account access, login links or materials with unlicensed colleagues, clients or other users. Do not remove ownership or licence notices.
You may upload materials into a private third-party AI workspace only as needed for the licensed use, subject to that provider's necessary processing rights, and must prevent access by unlicensed users. Separately identified third-party or open-source components remain subject to their own licences and mandatory legal rights are preserved.
After ordinary subscription cancellation, the same authorised user may continue using copies lawfully downloaded during the paid term on these licence conditions. New downloads, updates and member support end with paid access. A licence may be terminated for material breach under section 10. You may share your verified, project-specific deliverables with clients in the ordinary course of your business, but not the underlying skills, guides or reusable library materials.
You retain your rights in your own inputs. We claim no ownership of your AI outputs; ownership and permitted use depend on applicable law, third-party rights and your AI provider's terms. We cannot guarantee that output is exclusive or free of third-party rights.
7. Charges, renewal, cancellation and refunds
Skill Library membership is currently £129 per month, charged in advance through Stripe and renewing automatically each month until cancelled. The amount and billing interval must be shown before payment. Third-party AI subscriptions are separate. Cancel at any time by emailing james@myqs.co.uk from your subscription email, or through a Stripe subscription-management link if provided. Cancellation takes effect for renewals after we receive your request; administrative processing delays will not cause an extra charge. We will confirm cancellation. Paid access normally continues to the end of the current billing period.
For a business customer's change of mind, we do not normally refund a part-used billing period. This is not an absolute no-refunds policy: we will correct duplicate or incorrect charges and honour refunds, remedies and rights required by law or expressly agreed with you. If our materials or service materially fail to match the agreed description, contact us with the problem so we can investigate and put it right within a reasonable time. If we cannot do so, you may end the affected service and receive an appropriate refund for the affected or undelivered part. If we discontinue paid library access, we will refund unused prepaid access.
Setup invoices are due within 7 days of issue following completion unless agreed otherwise in writing. Cancellation or rescheduling at least 7 days before the booking is free. With less notice, a charge may reflect our reasonable net loss, taking account of saved costs and replacement bookings, capped at 50% of the Setup fee. If we cancel and cannot agree a replacement date, no cancellation charge applies and prepaid undelivered services are refunded.
Business purchases do not ordinarily carry a statutory consumer cooling-off period. If consumer law nevertheless applies, all mandatory cancellation, digital-content and service rights remain intact. We do not treat this business-use declaration or a download alone as consent to waive a consumer cancellation right.
8. Liability: please read carefully
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence; fraud or fraudulent misrepresentation; or any liability, right or remedy that cannot lawfully be excluded or limited. All provisions below are subject to that protection and apply only to the maximum extent permitted by law, including any applicable reasonableness requirement.
Subject to the preceding paragraph, we are not liable for indirect or consequential loss; or loss of profits, revenue, business, contracts, anticipated savings, opportunity, goodwill, or loss or corruption of data, whether those listed commercial losses are direct or indirect, arising out of or in connection with the materials or services.
Subject to the same protection, our total aggregate liability arising out of or in connection with a contract, whether in contract, tort (including negligence), misrepresentation, breach of statutory duty or otherwise, is limited to the greater of £1,000 and the fees paid or payable to us under that contract in the 12 months immediately before the event giving rise to the claim. Connected events are treated as one event for this purpose. This cap does not limit an express obligation to refund an overpayment or an undelivered service under section 7.
We are not responsible to the extent loss is caused by your failure to carry out required verification, unauthorised use or alteration of materials, or third-party platform failures outside our control. This does not excuse our own breach or negligence where liability cannot reasonably and lawfully be excluded. The allocation of risk reflects the price, the instruction-library model and the customer's control of project work. Contact us before purchase if you require a different allocation of risk; any variation must be expressly agreed in writing.
9. Project information and privacy
Downloading or using a skill does not send your project documents or AI conversations to us. Those remain in your chosen AI environment or on your device, subject to the provider's processing. If you voluntarily show or send us a document, screenshot or message during a demo, training or support, we may see or receive that information. Share only what is necessary and authorised; redact confidential and personal information and avoid sending complete project files. Our Privacy Policy covers the business, support, account and payment information we do process.
10. Suspension, termination and events outside our control
Member access requires a current paid subscription and is checked when you sign in or download. If payment fails, contact us to resolve it. We may suspend access for non-payment, security risks or misuse, and will give reasons and reasonable opportunity to remedy where practicable. We may terminate for a material breach not remedied within 14 days of written notice, or immediately for serious deliberate redistribution, fraud or unlawful use. On licence termination for breach, stop using and delete the affected materials, except records you must retain by law; previously verified client deliverables are unaffected.
Where an event reasonably outside a party's control prevents performance, that party must notify the other and take reasonable steps to reduce the impact. If a material interruption to our paid service continues for more than 30 days, you may cancel and obtain a refund for prepaid services not supplied. An outage does not extinguish accrued rights or payment owed for services already delivered.
11. Changes, existing customers and general provisions
We will give existing subscribers at least 30 days' notice before a material change to prices or terms, and a chance to cancel before it applies to a future renewal. Posting this version alone does not retrospectively replace an existing agreement or remove accrued rights. Where acceptance is needed for a new restriction, we will obtain it. Existing purchases remain governed by their agreed terms until a change validly takes effect. We may make non-material clarifications or changes required by law with appropriate notice.
If a provision is unenforceable, the remaining provisions continue where legally possible. A failure to enforce a right is not a waiver. No third party has a right to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999. These Terms and your agreed order form the contract; nothing excludes liability for a representation where it would be unlawful or unreasonable to do so.
12. Law and contact
English law governs this contract and the courts of England and Wales have exclusive jurisdiction, subject to any mandatory rights to another law or forum. Send questions, complaints, cancellations and legal notices to James Ball trading as myQS AI at the address above or james@myqs.co.uk. Workflow support hours are Monday to Friday, 8am to 5pm UK time.
